What is the minimum investment? +
The minimum investment for Fund II is $[XX,XXX]. We occasionally accommodate lower minimums on a case-by-case basis for close referrals — reach out to discuss.
Do I need to be accredited to invest? +
Yes. Our funds are offered under Regulation D, Rule 506(b) and are available to accredited investors only. An accredited investor generally earns $200,000+ annually ($300,000 jointly) or has a net worth exceeding $1,000,000 excluding their primary residence. How often are distributions paid? +
Distributions are paid [quarterly] via ACH directly to your bank account. Investors also receive a monthly performance report showing property occupancy, revenue, and fund-level financials. K-1 tax documents are delivered annually by [March 15].
What are your fees? +
We charge 0% AUM fees — no management fee on your invested capital. We earn through a [X]% acquisition fee at the time of each property purchase, and a [X]% carried interest on profits above the preferred return hurdle of [X]%. This structure means we only earn significantly when you do.
How long is my capital locked up? +
Fund II has a projected [5]–[7]-year hold period, at which point all properties are sold and proceeds are distributed. There is no active secondary market for fund interests, and early redemptions are generally not available except in extraordinary circumstances at manager discretion.
What are the tax benefits? +
Real estate investments can offer meaningful tax advantages including depreciation deductions, cost segregation studies, and pass-through losses that may offset other income. We recommend consulting your own CPA or tax attorney, as each investor's situation is unique. We provide K-1s annually to make tax reporting straightforward.
How do you select properties? +
Every property must clear our proprietary underwriting framework: minimum [X]% cash-on-cash at conservative occupancy assumptions, at least two independent demand drivers, a favorable regulatory environment, and appreciation potential supported by local supply constraints. How do I track my investment? +
All investors receive access to a personalized investor portal showing your current holdings, distribution history, property performance dashboards, and fund-level financials. Monthly reports are sent via email, and the team is available for quarterly check-in calls on request.
What happens if a property underperforms? +
We underwrite conservatively and maintain operating reserves at the fund level to absorb short-term revenue shortfalls. If a property consistently underperforms after optimization efforts, we have the authority to sell it early and redeploy capital into a stronger-performing asset — always with the goal of protecting investor returns.

Terminology

Investor Glossary

New to private real estate investing? These are the terms you'll see most often in our fund documents.

Cash-on-Cash Return

Annual pre-tax cash income divided by total cash invested. Measures how much cash you earn relative to what you put in, before accounting for appreciation.

Equity Multiple

Total cash distributed divided by total cash invested. A 2× multiple means you received $2 for every $1 invested over the life of the investment.

IRR (Internal Rate of Return)

The annualized rate of return accounting for the timing of all cash flows — distributions and final proceeds. The most comprehensive single measure of investment performance.

Preferred Return

A minimum return threshold investors receive before the fund manager participates in profits. E.g., an 8% pref means investors get 8% annually before carry kicks in.

Carried Interest (Carry)

The manager's share of profits above the preferred return. Aligns incentives — the manager only earns carry when investors exceed their hurdle rate.

AUM Fee

Assets Under Management fee — a periodic charge on invested capital regardless of performance. Gem State Capital charges 0% AUM fees.

Accredited Investor

An individual who meets SEC income ($200K+/yr) or net worth ($1M+ excl. primary residence) thresholds. Required to participate in Regulation D offerings.

K-1

The annual tax form partners in an LLC receive, reporting their share of income, deductions, and credits to be included in their personal tax return.

ADR (Average Daily Rate)

The average nightly rental rate charged across all occupied nights in a given period. A key revenue driver for STR properties alongside occupancy rate.

RevPAR

Revenue Per Available Room/Night — ADR multiplied by occupancy rate. The most comprehensive single metric for STR revenue performance.
